CS Professional Syllabus: Complete Subject-Wise Guide
The CS Professional syllabus is built around advanced corporate, governance, compliance, legal and financial responsibilities. The current ICSI Syllabus 2022 structure contains 7 numbered papers across two groups, with elective choices for Papers 4 and 7.
Group 1
Paper 1: ESG — Principles & Practice. Develops knowledge of environmental, social and governance considerations — how ESG connects with corporate governance, sustainability, stakeholder expectations, reporting, risk and corporate strategy.
Paper 2: Drafting, Pleadings & Appearances. A highly application-oriented paper developing professional drafting skills and understanding of how legal and corporate documents are structured.
Paper 3: Compliance Management, Audit & Due Diligence. Connects directly with a Company Secretary's professional responsibilities — compliance systems, compliance management, audit, due diligence, risk identification and reporting.
Paper 4: Elective 1. Current options include CSR and social governance, internal and forensic audit, intellectual property rights, AI/data analytics/cybersecurity laws, advanced direct tax and IFSCA regulations, and listing and compliances.
Group 2
Paper 5: Strategic Management & Corporate Finance. Combines strategy and finance — corporate strategy, financial decisions, capital, business performance and strategic planning.
Paper 6: Corporate Restructuring, Valuation & Insolvency. One of the more specialised areas — restructuring, valuation, insolvency and corporate transactions.
Paper 7: Elective 2. Current choices include Arbitration, Mediation & Conciliation; GST and Corporate Tax Planning; Labour Laws & Practice; Banking & Insurance — Laws & Practice; and Insolvency and Bankruptcy — Law & Practice. Verify applicable options for your specific examination session.
How to Study Professional
Use four layers: Concept → Application → Drafting/Problem Solving → Revision. The Professional Programme should not be prepared as a purely memorisation-based course.
